Please read these terms carefully before using ZoopCoder services. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing, browsing, or using ZoopCoder's website (zoopcoder.com), mobile applications, or any other services provided by ZoopCoder ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), along with our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue all use of ZoopCoder's Services. These Terms constitute a legally binding agreement between you ("User," "Client," or "you") and ZoopCoder ("we," "us," or "our"). ZoopCoder reserves the right to update these Terms at any time, and continued use of our Services constitutes acceptance of any changes.

2. Services Provided

ZoopCoder provides the following digital services:

  • Website Development (custom websites, WordPress, Shopify, e-commerce platforms)
  • Mobile App Development (Android, iOS, Flutter, React Native cross-platform apps)
  • Software Development (SaaS, CRM, ERP, custom enterprise software solutions)
  • UI/UX Design services and prototyping
  • SEO and digital marketing services
  • Business automation and AI-powered solutions
  • App maintenance, support, and hosting services
  • Technical consulting and digital strategy

Specific service details, deliverables, timelines, and pricing are outlined in individual project proposals and agreements. ZoopCoder reserves the right to refuse service to anyone for any reason at any time.

3. User Accounts and Registration

Certain ZoopCoder services may require you to register an account or provide personal information. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and secure
  • Notify ZoopCoder immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

ZoopCoder reserves the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Payment Terms

4.1 Payment Structure

ZoopCoder follows a milestone-based payment structure:

  • Advance Payment (30%): Due before project commencement
  • Milestone Payment (40%): Due upon agreed project milestone completion
  • Final Payment (30%): Due upon project delivery and client approval

4.2 Payment Methods and Currency

ZoopCoder accepts payments via bank transfer, UPI, and other agreed methods. All prices are quoted in Indian Rupees (INR) unless otherwise stated.

4.3 Late Payments

Payments not received within the agreed timeframe may result in suspension of active project work, withholding of deliverables, or termination of the project agreement.

4.4 Taxes

All prices are exclusive of applicable taxes including GST. ZoopCoder will provide valid GST invoices for all payments received.

5. Refund Policy

ZoopCoder's refund policy:

  • Advance payments are non-refundable once project work has commenced
  • Cancellation before commencement: Full refund if project has not yet started (within 48 hours of payment)
  • Project cancellation mid-way: Client will be invoiced for work completed to date; any excess advance payment will be refunded
  • Service dissatisfaction: ZoopCoder will resolve issues within the warranty period before considering refunds

All refund requests must be submitted in writing via email or WhatsApp. Approved refunds are processed within 7-14 business days.

6. Intellectual Property Rights

6.1 Client-Owned Work

Upon receipt of full and final payment, ZoopCoder transfers ownership of all custom code, designs, graphics, and content created specifically for that client's project, including source files and design assets.

6.2 ZoopCoder-Owned Assets

ZoopCoder retains all intellectual property rights in proprietary frameworks, libraries, tools, methodologies, branding, trademarks, and pre-existing software components developed by ZoopCoder.

6.3 Client Content

Clients retain ownership of all content, data, images, and materials they provide. By providing such materials, clients grant ZoopCoder a limited license to use them solely for project purposes, and warrant they have full rights to share such content.

7. Warranties and Support

7.1 Project Warranty

ZoopCoder provides a 30-day warranty on all delivered projects from the date of final delivery, covering bug fixes for issues present at delivery, minor adjustments to originally specified functionality, and resolution of technical issues caused by ZoopCoder's code.

7.2 Warranty Exclusions

The warranty does not cover issues from client modifications, third-party services or APIs, new feature requests, incompatible plugins, or security vulnerabilities introduced after delivery.

7.3 Disclaimer of Warranties

Except as expressly stated above, ZoopCoder provides all services "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

8. Prohibited Uses

You agree not to use ZoopCoder's services or website for:

  • Any unlawful purpose or violation of applicable laws and regulations
  • Transmitting spam, malware, viruses, or harmful code
  • Infringing intellectual property rights of ZoopCoder or third parties
  • Engaging in fraudulent activities or misrepresentation
  • Unauthorized access to ZoopCoder systems, servers, or databases
  • Reverse engineering, decompiling, or disassembling ZoopCoder software
  • Creating projects that promote illegal activities, hate speech, or harmful content
  • Collecting user data without proper consent or legal basis
  • Interfering with or disrupting ZoopCoder's services or infrastructure

Violation may result in immediate termination of services and legal action.

9. Confidentiality

ZoopCoder treats all client project information, business details, and technical specifications as confidential and will not disclose them to third parties without explicit consent, except when required by law, to delivery service providers under confidentiality obligations, or with client permission for portfolio or case study purposes.

Clients must also treat ZoopCoder's proprietary methodologies, pricing structures, and internal processes as confidential.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ZoopCoder's total liability for any claims shall not exceed the total amount paid by the client for that specific project
  • ZoopCoder is not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, data loss, or business interruption
  • ZoopCoder is not responsible for the performance, availability, or security of third-party services or hosting providers
  • ZoopCoder does not guarantee specific business results, revenue, or app store rankings
  • ZoopCoder is not liable for delays caused by client failure to provide required content, feedback, or approvals

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for consequential damages, so some limitations above may not apply to you.

11. Privacy Policy

Your use of ZoopCoder's services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our collection and use of your data as described in the Privacy Policy. We are committed to protecting your personal information in compliance with applicable data protection laws including the Digital Personal Data Protection Act, 2023 (India).

12. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • ZoopCoder will invoice for all work completed to date
  • Completed work assets will be delivered upon receipt of outstanding payments
  • Confidentiality obligations survive termination indefinitely
  • Intellectual property rights revert as outlined in Section 6

ZoopCoder may immediately terminate services if a client violates these Terms, engages in fraudulent activity, or fails to make required payments.

13. Force Majeure

ZoopCoder shall not be liable for any delay or failure to perform obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, internet or infrastructure outages, pandemics, or power failures. ZoopCoder will notify clients promptly of such events and resume services as soon as reasonably practicable.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or ZoopCoder's services shall be resolved through:

  • Negotiation: Good-faith negotiation within 30 days
  • Mediation: If negotiation fails, parties will attempt mediation
  • Arbitration: Binding arbitration in accordance with applicable Indian arbitration laws
  • Jurisdiction: Courts of India shall have exclusive jurisdiction

15. Modifications to Terms

ZoopCoder reserves the right to modify these Terms at any time. Changes are effective immediately upon posting with a revised "Last Updated" date. For significant changes, ZoopCoder may notify active clients via email or WhatsApp. Continued use of our Services after any changes constitutes acceptance of the new Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary while remaining provisions continue in full effect.

These Terms, together with the Privacy Policy and any project-specific agreements, constitute the entire agreement between you and ZoopCoder, superseding any prior agreements or understandings.
